Terms & Conditions of Sale

These Terms and Conditions of Sale (“Agreement”) govern all proposals, orders, and purchases made from our company (“we,” “us,” or “our”). By approving a proposal, signing an agreement, submitting payment, or placing an order, the customer (“you”) agrees to be bound by this Agreement. Please review carefully prior to proceeding.

  1. Orders and Acceptance

All orders are subject to our acceptance. We reserve the right to decline or cancel any order, in whole or in part, for any lawful reason. Once an order is approved and released to production, it may not be canceled or modified without our written consent. Approved changes may result in additional costs and/or extended lead times.

  1. Product Nature & General Variations

Our products are custom or made-to-order. Due to the natural characteristics of wood and manufacturing processes, variations in grain, color, texture, sheen, and finish are normal and expected. Samples, renderings, and displays are provided as references only and may not exactly represent the final product.

  1. Pricing & Payment Terms

Pricing and payment terms are outlined in your proposal or invoice. Unless otherwise stated, payment in full is required prior to production. Prices are subject to change prior to order acceptance. We are not responsible for typographical, clerical, or calculation errors and reserve the right to correct such errors at any time.

  1. Taxes

Prices do not include applicable sales, use, or other taxes. You are responsible for all applicable taxes unless a valid tax exemption certificate is provided prior to invoicing.

  1. Lead Times

All lead times are estimates only and are not guaranteed. Delays may occur due to material availability, production schedules, transportation issues, weather, labor conditions, or other circumstances beyond our control. We are not responsible for damages resulting from delayed delivery.

  1. Shipping, Delivery & Risk of Loss

Title and risk of loss transfer to you upon delivery to the carrier or upon pickup, whichever occurs first. Delivery dates are estimates only. We are not responsible for delays caused by carriers, jobsite conditions, weather, access limitations, or scheduling issues.

  1. Inspection & Damage Claims

All products must be opened and inspected prior to installation. Any visible damage or defects must be reported in writing, with supporting photographs, within 14 days of delivery and before installation. Products that are installed are deemed accepted and are not eligible for replacement due to visible damage.

  1. Returns, Cancellations & Replacements

Due to the custom nature of our products, all sales are final and returns are not accepted. Orders may not be canceled once production has begun. If a product is confirmed to be defective under these Terms, we may, at our discretion, repair or replace the affected item.

  1. Installation & Handling

Unless explicitly stated otherwise in writing, we do not perform installation and are not responsible for installation-related issues. Improper handling, storage, installation, jobsite conditions, or failure to follow industry-standard installation practices may void warranty coverage.

  1. Storage

If delivery or pickup is delayed beyond an agreed-upon date, storage fees may apply. We are not responsible for damage to products stored beyond a reasonable holding period or under improper conditions.

  1. Limited Warranty

We provide a limited warranty as outlined in our separate Warranty documentation. This warranty is non-transferable and excludes damage caused by misuse, improper installation, modification, environmental conditions, or normal wear. Please refer to our Warranty Page for full details.

  1. Paint & Finish Disclaimer (Wood Movement & Joint Lines)

Painted cabinetry is subject to the natural characteristics of wood construction. Wood is a living material that expands and contracts with changes in temperature and humidity. As a result, painted cabinets may experience visible joint lines, hairline cracks, seam telegraphing, or slight movement at door rails, stiles, and panel joints.

These conditions may be visible upon delivery, shortly after installation, months later, or years after installation. This movement is normal, expected, and inherent to painted wood cabinetry and is not considered a defect in materials or workmanship.

Finish variations, including slight color variation, sheen differences, and surface texture, are normal and do not constitute defects. Touch-ups, caulking, or minor finish maintenance may be required over time and are considered standard homeowner upkeep.

Environmental conditions such as humidity levels, temperature changes, jobsite conditions, and installation environment can significantly affect painted finishes. Maintaining stable indoor humidity levels is critical to minimizing visible wood movement.

Claims related to joint movement, hairline cracks, seam lines, or finish stress are not covered under warranty and do not qualify for repair, replacement, or refund.

By approving a painted cabinetry order, the customer acknowledges and accepts these characteristics as normal and inherent to painted wood products.

  1. Wood Stain Finish Disclaimer (Natural Variation)

Stained cabinetry highlights the natural characteristics of wood. Each piece of solid wood and veneer is unique in grain pattern, texture, density, and color, which affects how stain is absorbed and displayed.

Solid wood components and wood veneers do not accept stain identically. Variations in color tone, depth, shading, and appearance between doors, drawer fronts, panels, and cabinet components are normal and expected. Exact color matching across all components cannot be guaranteed.

Samples, renderings, and displays are provided as general references only. Finished products may vary from samples due to natural wood characteristics, material sourcing, and production methods. Natural features such as mineral streaks, knots, grain swirls, and color variation are inherent to stained wood products and are not considered defects.

Claims related to color variation, grain differences, stain absorption, or appearance differences between solid wood and veneer components are not covered under warranty and do not qualify for repair, replacement, or refund.

By approving a stained cabinetry order, the customer acknowledges and accepts natural variations in wood grain, color, and stain appearance as inherent characteristics of wood products.

  1. Limitation of Liability

To the fullest extent permitted by law, our liability is limited to the purchase price of the product giving rise to the claim. We are not liable for indirect, incidental, consequential, or special damages, including but not limited to labor costs, delays, loss of use, or reinstallation costs.

  1. Governing Law & Venue

This Agreement shall be governed by the laws of the State of Indiana. Any legal action arising from this Agreement shall be brought exclusively in the courts located in Decatur County, Indiana.

  1. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior or contemporaneous agreements, representations, or communications, whether written or oral.
